1 Agreement to Terms

These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User", "you") and Siberis LTD, a company registered in England and Wales ("Company", "we", "us", "our"), governing your access to and use of the marketdrifter website and platform at marketdrifter.com (the "Services").

By accessing or using the Services, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree with any part of these Terms, you must not use the Services.

We reserve the right to amend these Terms at any time. We will notify you of material changes by updating the "Last updated" date above and, where practicable, by email. Your continued use of the Services after such changes constitutes acceptance of the revised Terms.

3 Our Services

marketdrifter is an AI-powered marketing intelligence platform that helps users discover audiences, analyse market trends, and launch marketing campaigns. The Services are provided on a subscription basis and are intended for business and professional use.

The information provided through the Services is for general informational and analytical purposes only. While we strive for accuracy, we do not guarantee that insights, data, or recommendations generated by the platform will be complete, accurate, or suitable for any particular purpose. You are solely responsible for any decisions or actions taken based on information obtained through the Services.

The Services are primarily designed for users in the United Kingdom. We make no representations that the Services are appropriate or available for use in other jurisdictions.

4 Eligibility

You must be at least 18 years of age to use the Services. By using the Services, you represent and warrant that you meet this age requirement.

If you are registering on behalf of a business or organisation, you represent that you have the authority to bind that entity to these Terms.

5 User Registration

To access certain features of the Services, you may be required to create an account. You agree to:

  • Provide accurate, current, and complete registration information;
  • Maintain and promptly update your account information;
  • Keep your password confidential and not share it with any third party;
  • Notify us immediately of any unauthorised access to your account.

You are responsible for all activity that occurs under your account. We reserve the right to suspend or terminate accounts that contain inaccurate information or that we reasonably believe have been compromised.

6 Subscriptions & Payment

Billing. The Services are offered on a subscription basis. By subscribing, you authorise us to charge your chosen payment method on a recurring basis (monthly or annually, depending on your selected plan) until you cancel.

Currency. All prices are quoted in British Pounds Sterling (GBP) unless otherwise stated. Prices are inclusive of VAT where applicable.

Payment methods. We accept payment via major credit and debit cards (Visa, Mastercard, American Express) and such other methods as we may make available from time to time.

Price changes. We may change subscription fees at any time. We will give you at least 30 days' notice of any price increase. If you do not agree to the new price, you may cancel your subscription before the new price takes effect.

Auto-renewal. Your subscription will automatically renew at the end of each billing period unless you cancel before the renewal date. You can cancel at any time through your account settings.

Failed payments. If a payment fails, we may retry the charge and/or suspend your access to the Services until payment is successfully processed.

7 Cancellation & Refunds

14-day cooling-off period. In accordance with the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013, you have the right to cancel your subscription within 14 days of your initial purchase without giving any reason. Contact us at hello@marketdrifter.com to exercise this right. We will process your refund within 14 days using the same payment method.

Cancellation after the cooling-off period. You may cancel your subscription at any time. Cancellation takes effect at the end of your current billing period. You will retain access to the Services until the end of that period. No partial refunds are given for unused time within a billing cycle.

Statutory rights. Nothing in these Terms affects your statutory rights as a consumer under UK law.

8 Intellectual Property Rights

Unless otherwise indicated, the Services and all content, features, and functionality thereof — including text, graphics, logos, icons, images, software, and data compilations — are owned by Siberis LTD or its licensors and are protected by United Kingdom and international intellectual property laws.

We grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Services for your personal or internal business purposes, subject to these Terms. You may not:

  • Copy, reproduce, distribute, or create derivative works from any part of the Services;
  • Reverse engineer, decompile, or disassemble any software forming part of the Services;
  • Remove any copyright, trademark, or other proprietary notices;
  • Use any data mining, scraping, or similar data-gathering tools on the Services;
  • Resell, sublicence, or commercially exploit the Services or any content thereof without our prior written consent.

9 User-Generated Content

The Services may allow you to create, upload, store, or share content such as campaign configurations, custom reports, dashboards, notes, or other materials ("User Content"). You retain ownership of your User Content.

By submitting User Content to the Services, you grant us a non-exclusive, worldwide, royalty-free licence to use, store, process, and display your User Content solely to the extent necessary to provide and improve the Services. This licence terminates when you delete your User Content or your account, except where retention is required by law.

You represent and warrant that you have all necessary rights to submit your User Content and that it does not infringe the rights of any third party or violate any applicable law.

10 Prohibited Activities

You agree not to use the Services for any unlawful or prohibited purpose. Without limitation, you shall not:

  • Use the Services in violation of any applicable UK or international law or regulation;
  • Attempt to gain unauthorised access to the Services, other user accounts, or any related systems or networks;
  • Use the Services to send unsolicited communications (spam) or engage in any form of harassment;
  • Interfere with or disrupt the integrity or performance of the Services;
  • Upload or transmit viruses, malware, or other harmful code;
  • Use any automated means (bots, scrapers, crawlers) to access or collect data from the Services without our express written permission;
  • Impersonate any person or entity, or falsely misrepresent your affiliation;
  • Use the Services to develop a competing product or service;
  • Circumvent, disable, or otherwise interfere with any security-related features of the Services.

11 Third-Party Services & Links

The Services may contain links to, or integrations with, third-party websites, services, or applications not owned or controlled by us. We have no control over and assume no responsibility for the content, privacy policies, or practices of any third-party services.

Your use of third-party services is at your own risk and subject to those third parties' terms. We encourage you to read their terms and privacy policies.

12 Privacy & Data Protection

Your use of the Services is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review it to understand how we collect, use, and protect your personal data.

We process personal data in accordance with the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018. Our Services are hosted in the United Kingdom.

13 Service Availability & Modifications

We reserve the right to modify, suspend, or discontinue the Services (or any part thereof) at any time, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuance of the Services.

We do not guarantee that the Services will be available at all times. We will use reasonable efforts to notify you of planned downtime where practicable.

14 Term & Termination

These Terms remain in effect while you use the Services. We may suspend or terminate your account at any time for any reason, including breach of these Terms.

Upon termination:

  • Your right to use the Services ceases immediately;
  • We may delete your account and User Content after a reasonable period (typically 30 days), unless retention is required by law;
  • You may request a copy of your data prior to account deletion by contacting us.

All provisions of these Terms which by their nature should survive termination shall survive, including intellectual property provisions, warranty disclaimers, indemnification, and limitations of liability.

15 Disclaimer of Warranties

The Services are provided on an "as is" and "as available" basis without warranties of any kind. To the fullest extent permitted by law, we disclaim all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the Services will be uninterrupted, error-free, or that data obtained through the Services will be accurate or reliable.

Nothing in these Terms excludes any warranty that it would be unlawful to exclude. As a UK consumer, you have legal rights under the Consumer Rights Act 2015, and nothing in these Terms affects those rights.

16 Limitation of Liability

Our total aggregate liability to you shall not exceed the total amount paid by you to us in the twelve (12) months preceding the claim.

To the fullest extent permitted by applicable law, we shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including loss of profits, data, business, or goodwill — arising out of or related to your use of the Services.

Nothing in these Terms excludes or limits our liability for: (a) death or personal injury caused by our negligence; (b) fraud or fraudulent misrepresentation; or (c) any other liability that cannot be excluded under English law.

17 Indemnification

You agree to indemnify and hold harmless Siberis LTD and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to:

  • Your use of the Services;
  • Your breach of these Terms;
  • Your violation of any applicable law or third-party rights;
  • Your User Content.

18 Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

If you are a consumer resident in the United Kingdom, you will benefit from any mandatory provisions of the law of your country of residence.

If you are a consumer in the European Union, you may refer a dispute to the European Online Dispute Resolution platform at ec.europa.eu/consumers/odr.

19 Electronic Communications

By using the Services or contacting us by email, you consent to receiving electronic communications from us. You agree that all agreements, notices, and other communications we provide electronically satisfy any legal requirement that such communications be in writing.

20 Severability

If any provision of these Terms is held to be unenforceable or invalid, that provision shall be modified to the minimum extent necessary to make it enforceable, or if modification is not possible, it shall be severed. The remaining provisions shall continue in full force and effect.

21 Waiver

No waiver by us of any term or condition shall be deemed a further or continuing waiver of such term or any other term. Any failure to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

22 Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations without restriction, including in connection with a merger, acquisition, or sale of assets.

23 Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices or agreements published by us on the Services, constitute the entire agreement between you and Siberis LTD regarding your use of the Services and supersede all prior agreements and understandings.
